Terms of Service

1. Agreement to These Terms
These Terms of Service (“Terms”) are a binding agreement between you and Trellis HQ (“Trellis,” “we,” “us,” or “our”) governing your access to the trellishq.ai website, the Trellis restaurant marketing platform, and related tools (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service for an organization, you represent that you can bind that organization.
2. Eligibility and Accounts
- You must be at least 18 years old and able to form a contract.
- You must provide accurate, complete, and current information.
- You are responsible for account credentials, authorized team access, and activity under your account.
- You must promptly notify us at legal@trellishq.ai if you believe an account has been compromised.
3. The Service
Trellis is a restaurant marketing platform that may provide content planning, employee capture, media organization and refinement, publishing and scheduling, performance reporting, review management, public marketing tools, and AI-assisted suggestions. Features may change as the Service evolves. We may add, modify, suspend, or discontinue features, including when a third-party integration changes.
4. Connected Accounts and Your Authorization
When you connect Meta, Google Business Profile, TikTok, or another third-party account, you:
- confirm that you are authorized to connect and manage that account;
- authorize Trellis to access the data and perform the actions covered by the permissions you grant, including publishing content you approve or schedule;
- agree to comply with the connected platform’s terms and policies; and
- remain responsible for content and activity sent to the connected account through the Service.
You may disconnect a platform in Trellis or revoke access in the platform’s settings. Platform availability, permissions, and API behavior are controlled by the third party and may change without notice.
5. Your Content
“Your Content” means the media, text, brand information, instructions, and other materials you or your authorized users submit to the Service. As between you and Trellis, you retain ownership of Your Content. You grant Trellis a worldwide, non-exclusive, royalty-free license to host, copy, process, modify, display, and transmit Your Content solely as needed to provide and secure the Service and carry out your instructions. We may use AI providers to process Your Content for requested features, but we do not use Your Content to train AI models. This license ends when Your Content is deleted from our systems, except for limited retained copies permitted by the Privacy Policy or law.
You represent that you have the rights and permissions needed for Your Content, including rights relating to people, music, trademarks, and locations shown in it. You may not upload or publish content that is unlawful, infringing, deceptive, or violates third-party platform rules.
6. AI-Assisted and Automated Features
The Service may use artificial intelligence to suggest captions, hashtags, plans, replies, tags, and media changes. Outputs may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing outputs and for deciding whether to edit, approve, schedule, or publish them. Trellis does not provide legal, medical, financial, or other professional advice.
7. Subscriptions, Billing, and Taxes
- Paid access is offered through the Growth plan at the price and billing cycle shown at checkout and on our pricing page.
- Stripe processes payments. By starting a subscription, you authorize recurring charges until cancellation.
- Subscriptions renew automatically for the selected billing period unless canceled before renewal.
- You are responsible for applicable taxes, except taxes based on Trellis’s net income.
- We may change pricing with at least 30 days’ advance notice. A price change applies no earlier than your next renewal after the notice period.
- Payments are generally non-refundable except where required by law; Trellis may consider other refund requests case by case.
8. Cancellation, Read-Only Access, and Deletion
An organization owner can manage or cancel a subscription through the Stripe billing portal in Trellis. Cancellation stops future renewals subject to Stripe’s displayed effective date. When paid entitlement ends, Trellis may place the organization in read-only mode and show a billing-recovery period.
Canceling a subscription does not delete your Trellis organization or Your Content. Account and data deletion are separate requests governed by the Privacy Policy. Follow the data deletion instructions or email privacy@trellishq.ai.
9. Acceptable Use
You may not:
- use the Service for unlawful, fraudulent, or deceptive activity;
- publish spam or content that violates law, rights, or connected platform policies;
- access another customer’s data or account without authorization;
- probe, disrupt, overload, bypass, or interfere with Service security or usage controls;
- reverse engineer or attempt to extract source code except where the law does not allow that restriction;
- use automated means to scrape the Service or create accounts to avoid limits; or
- resell or sublicense the Service without written permission.
10. Third-Party Services
The Service relies on third-party services, including social networks, business-profile platforms, AI providers, payment processors, and hosting providers. Your use of those services may be governed by their own terms. Trellis is not responsible for third-party services or for API, policy, permission, or availability changes outside our control. An affected Trellis feature may become limited or unavailable.
11. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, third-party outages, or circumstances beyond our control. We are not liable for loss resulting from Service downtime, including missed scheduled posts, to the extent permitted by law.
12. Limitation of Liability
To the maximum extent permitted by law, Trellis will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, use, or goodwill arising from the Service. Trellis’s total liability for a claim arising from the Service will not exceed the amount you paid Trellis in the 12 months before the claim. These limitations apply only to the extent permitted by law.
13. Changes to These Terms
We may update these Terms. We will post the revised Terms and update the date above. If a change materially affects your rights, we will provide additional notice when appropriate. Changes apply prospectively. If you do not agree to revised Terms, you must stop using the Service and cancel your subscription.
14. Governing Law
Utah law governs these Terms without regard to conflict-of-law rules. Any dispute not required by law to be heard elsewhere will be brought in the state or federal courts located in Salt Lake County, Utah, and each party consents to their jurisdiction.
